While a contract is a legally enforceable exchange of promises for all companies, the ambiguity and vagueness in drafting contracts is at an all-time high. Some parties opt to use a form contract instead of clarifying terms and goals specifically related to their business needs. Some current trends in contract drafting include automated contract management and drafting software. Still, solid contract-drafting skills are essential tools to any professional who deals with transactions or business relationships. Although contract counterparties may have the best of intentions, many contracts are plagued with ambiguities, inconsistencies, unintended imprecision, and unnecessary legalese, making them confusing, risky, and at times, very costly. It is important to understand when to leave the legal jargon out of the contract. Often, legal expressions in contracts are a convenient shorthand rather than a strict necessity, and can be avoided in the interests of clarity and communicating with non-lawyers who may have to understand the contract. The purpose of this event is to assist business professionals with drafting, analyzing, and interpreting contracts. This course focuses on the manner in which concepts are expressed in a contract, as well as substantive concepts related to the parties’ respective rights and obligations under a contract.
